(the "Sweepstakes")

Official Rules

THE SWEEPSTAKES IS ORGANIZED AND ADMINISTERED BY PWHL HOCKEY LEAGUE CANADA ULC (“PWHL”). NO PURCHASE NECESSARY TO PARTICIPATE OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF PARTICIPANTS. VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING, EACH PARTICIPANT ACCEPTS AND AGREES TO BE BOUND BY THESE OFFICIAL RULES. EXCEPT WHERE PROHIBITED BY LAW, ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND PARTICIPANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

The object of the Sweepstakes is for participants to engage with the Ottawa Charge on its X account for an opportunity to win a Prize (as defined below).

PARTICIPATION PERIOD: The Sweepstakes period begins at 8:00 a.m. Eastern Time (“ET”) on December 13, 2024 and ends at 4:59 p.m. ET on December 24, 2024 (the "Sweepstakes Period"). The Sweepstakes Period will be divided into twelve (12) different entry periods (each an “Entry Period”, and collectively the “Entry Periods”):

• Friday, December 13, 2024 at 8:00 a.m. ET to Friday, December 13, 2024 at 4:59 p.m. ET (“Entry Period 1”)

• Saturday, December 14, 2024 at 8:00 a.m. ET to Saturday, December 14, 2024 at 4:59 p.m. ET (“Entry Period 2”)

• Sunday, December 15, 2024 at 8:00 a.m. ET to Sunday, December 15, 2024 at 4:59 p.m. ET (“Entry Period 3”)

• Monday, December 16, 2024 at 8:00 a.m. ET to Monday, December 16, 2024 at 4:59 p.m. ET (“Entry Period 4”)

• Tuesday, December 17, 2024 at 8:00 a.m. ET to Tuesday, December 17, 2024 at 4:59 p.m. ET (“Entry Period 5”)

• Wednesday, December 18, 2024 at 8:00 a.m. ET to Wednesday, December 18, 2024 at 4:59 p.m. ET (“Entry Period 6”)

• Thursday, December 19, 2024 at 8:00 a.m. ET to Thursday, December 19, 2024 at 4:59 p.m. ET (“Entry Period 7”)

• Friday, December 20, 2024 at 8:00 a.m. ET to Friday, December 20, 2024 at 4:59 p.m. ET (“Entry Period 8”)

• Tuesday, December 24, 2024 at 8:00 a.m. ET to Tuesday, December 24, 2024 at 4:59 p.m. ET (“Entry Period 12”)

ELIGIBILITY: The Sweepstakes is open only to legal residents of the United States (including its commonwealths, territories, and possessions) and Canada (excluding Quebec) (the “Eligible Territory”) who are the age of majority (which is 18 in most jurisdictions) or older at the time of participation. Employees, officers, and directors, and their immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and members of the same household (whether or not related), of PWHL and PWHL LeagueCo US LP (collectively the “PWHL Parties”) and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any other entity associated with the Sweepstakes are not eligible to participate or win a Prize.

HOW TO PARTICIPATE: Enter via the Ottawa Charge X account or the Ottawa Charge website, as described below. No other method of entry will be accepted. All entries must be complete and legible in order to qualify, and will be void if they are, in whole or in part, incomplete, illegible, damaged, irregular, counterfeit, altered, or obtained through theft or fraud. Limit of one (1) entry per person, household address, email address or IP address during each Entry Period, regardless of the method of entry. Additional entries beyond the specified limit will be void. PWHL is not responsible for lost, late, illegible, misdirected or mutilated entries, including due to technical/network failures, human error, or any other error or malfunction. PWHL reserves the right to disqualify any entry that is incomplete, illegible, or otherwise not in compliance with these Official Rules.

A. X Method: To enter, you must have a valid X account and access the official X account of the Ottawa Charge, which, during the Sweepstakes Period, will post a daily question which invites entries into the Sweepstakes (the “Post”). If you don’t already have an X account, visit https://x.com/home to create an account. Anyone using an X account other than their own or multiple X accounts to enter will be disqualified. Using your X account, respond to the daily question during the relevant Entry Period. The time of receipt of any X entry shall be the time such entry is made available to PWHL via the participant’s X account. There is no cost to view the Post or to answer the daily question.

B. Email Method: Participants may also enter the Sweepstakes by completing the form available at https://share.hsforms.com/1Q1iu6C9qQPmVszVU_QwT0Apzmxn by providing their full name and email address. Entries must be received during the relevant Entry Period. PWHL reserves the right to disqualify any entry that is incomplete, illegible, or otherwise not in compliance with these Official Rules.

All information submitted by participants in connection with this Sweepstakes and shared with, or otherwise made available to, PWHL becomes the property of PWHL and will be treated in a manner consistent with PWHL’s Privacy Policy accessible at: https://www.thepwhl.com/en/privacy-policy. Any participation that does not comply with these Official Rules will be void, eliminated and not eligible for winning.

REMITTANCE OF THE PRIZES: At the end of each Entry Period, one (1) participant will be selected (each, a “Selected Participant”) by random draw from among all eligible entries received to be eligible to win the Prize associated with the applicable Entry Period. The random draw will take place at the head office of the Ottawa Charge, or at such other location as the PWHL may determine. Subject to verification of eligibility and compliance with these Official Rules, and for Canadian residents, correctly answering a mathematical skill-testing question without assistance of any kind, the Selected Participant will be declared the official winner of the Prize associated with the relevant Entry Period (a “Winner”, collectively the “Winners”). Odds of winning depend on the total number of eligible entries received during the relevant Entry Period. Entries made during an Entry Period are only valid for such Entry Period.

PRIZES: The Prizes for each Entry Period are as follows (each a “Prize”, collectively, the “Prizes”):

WINNER: For the name of the Winners, email a request, no later than January 15th, 2025, to: kennedy.player-reid@thepwhl.com.

PRIZE CONDITIONS: All Prize details shall be determined in the sole and absolute discretion of PWHL. Winners are fully responsible for any and all applicable taxes (including income and withholding taxes) related to their Prize. All costs and expenses associated with Prize acceptance and use which are not specifically included in the Prize description above, including, but not limited to, transportation, lodging, meals, and other expenses, are the sole responsibility of the Winners. The Prizes are non-transferable and non-assignable, with no cash redemptions. No substitution by the Winners is permitted. If a game part of a Prize is cancelled, no refund or other monetary or non-monetary consideration shall be provided to the Winner. PWHL reserves the right to substitute a Prize (or any portion thereof) with a prize of comparable or greater value at its sole and absolute discretion.

NOTIFICATION: For each Entry Period, the Selected Participant will be notified at the email address, and/or via direct message to the X account provided at the time of entry (the “Prize Notification”). In the event that any Selected Participant does not respond to the Prize Notification by 12:00 PM ET on the day following the Entry Period for which he has been selected or declines the Prize for any reason, a disqualification will result, the Prize will be forfeited and, at PWHL’s sole discretion and time permitting, an alternate Selected Participant may be randomly selected from among all remaining eligible entries associated with such Entry Period. Failure to submit any identification required by PWHL within the specified time period, noncompliance with these Official Rules, the return of the Prize Notification or of the Prize (or any portion thereof) as non-deliverable may result in the Selected Participant disqualification and Prize forfeiture and, at PWHL’s sole discretion and time permitting, may cause an alternate Selected Participant to be randomly selected from among all remaining eligible entries associated with such Entry Period.

ENTRY PUBLICATION, LICENSE, AND RELEASE: By entering the Sweepstakes, each participant grants to the PWHL Parties, and each of their respective designees the perpetual and unlimited right and license to use, license, edit, modify, duplicate, and/or create derivative works from his entry throughout the world and in perpetuity, including, but not limited to, the right for the PWHL Parties to publish, display, broadcast, distribute, reproduce, perform, create derivative works from, and otherwise use and exploit the entry via the Internet, in arena, on television, in print, and/or any other media currently existing and hereafter developed without limitation and without notice or payment of any compensation to the participant or his heirs and successors: (i) on its own or as part of any audiovisual or other production; (ii) to advertise any products, programming, or services of the PWHL Parties or for any other advertising, marketing, and promotional purposes and in any materials related thereto; and/or (iii) for any other purpose whatsoever; and (d) release in perpetuity the Released Parties (as defined below) from any claims, demands, losses, and liabilities of any nature arising out of or in any way connected with the entry and use thereof as permitted hereunder, including, but not limited to, claims of copyright or trademark infringement, false endorsement, libel, slander, defamation, or infringement of rights of publicity or privacy. Nothing herein will obligate the PWHL Parties to make any use of any of the rights set forth herein. For U.S. residents, names and e-mail addresses of Sweepstakes participants may be used for future marketing solicitations by the PWHL Parties, unless the participant opts out of such marketing uses.

SWEEPSTAKES ADMINISTRATION: PWHL will be responsible for resolving any disputes and rules violations that arise in connection with the Sweepstakes. PWHL’s electronic device will be the official clock of the Sweepstakes. All decisions by PWHL regarding the Sweepstakes shall be final and binding in all respects.

WAIVER OF LIABILITY/PUBLICITY RELEASE: By participating in the Sweepstakes, each participant agrees to be bound by these Official Rules, including all conditions of participation, and, for themselves and in the case of the Winners, for themselves and on behalf of the Winners’ guests, as applicable, hereby waive any and all claims against the PWHL Parties and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives, advertising and promotion agencies, and any other company associated with the Sweepstakes, and all of their respective officers, directors, employees, agents, and representatives (collectively, “Released Parties”) for any injury, damage, or loss, including, without limitation death, that may occur, directly or indirectly, in whole or in part, from participation in the Sweepstakes, receipt or use of the Prize (or any portion thereof), or with attending a game, as applicable, including, without limitation, the risk of being injured by flying pucks, sticks and other objects, and all claims associated therewith including for injury or death. The Released Parties make no warranties, express or implied, relative to the use or enjoyment of a Prize (or any portion thereof), including, without limitation, its quality, merchantability or fitness for a particular purpose.

Each Winner, by acceptance of a Prize, grants the PWHL Parties and each of their respective designees the right to publicize his name, city and state/province of residence, Prize information, photograph, voice, statements, and/or other likeness for advertising, promotional, trade, and any other purpose, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law.

CONDITIONS : Each Selected Participant will be required to provide his name, address, age and other personal information necessary to receive the Prize. In the event that any Selected Participant fails to provide PWHL all information necessary to receive the Prize or declines the Prize for any reason, a disqualification will result, the Prize will be forfeited and, at PWHL’s sole discretion and time permitting, an alternate Selected Participant may be chosen. Each Selected Participant may be required to sign and remit to PWHL a Declaration of Eligibility and Release of Liability and Publicity (where required and/or permitted), affirming his agreement to all terms, conditions, and restrictions in these Official Rules. Failure to do so by a Selected Participant within the timeframe determined by PWHL shall result in a disqualification and Prize forfeiture and, at PWHL’s sole discretion and time permitting, an alternate Selected Participant will be selected. Any Selected Participant’s noncompliance with these Official Rules may result in disqualification, Prize forfeiture and, at PWHL’s sole discretion and time permitting, may cause an alternate Selected Participant to be chosen.

GENERAL CONDITIONS: By participating in the Sweepstakes, each participant (a) accepts and agrees to be bound by these Official Rules, including all eligibility requirements, and (b) gives his express permission to be contacted by PWHL and/or its representatives for Sweepstakes administration purposes.

The Sweepstakes is subject to all applicable laws, rules, and regulations. Void outside the Eligible Territory and where prohibited or restricted by law, rule, or regulation. PWHL’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

The Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors relating to or in connection with this Sweepstakes, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Sweepstakes, the cancellation of a game included as part of a Prize or any errors appearing in any Sweepstakes related-materials, including, but not limited to, errors in advertising, errors in the Official Rules, the selection and announcement of the Winners or the distribution of the Prizes. PWHL reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.

If the Sweepstakes is not capable of running as planned for any reason, including, without limitation, as a result of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, PWHL reserves the right, at its sole and absolute discretion, to cancel, terminate, modify or suspend the Sweepstakes, to disqualify any individual who tampers with the participation process, and, if terminated, to determine the Winners, if any, up to the point of termination.

The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of the Sweepstakes related materials. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, wireless, Internet Service Provider (ISP) or lines, computer systems, servers, or providers, computer equipment, software, malfunctions of wireless devices, wireless service problems, cellular tower equipment, traffic congestion on the Internet or at any website or wireless service congestion, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes.

CAUTION: PARTICIPANTS AGREE NOT TO UPLOAD, POST OR TRANSMIT ANY MATERIALS WHICH CONTAIN ANY COMPUTER VIRUSES, EASTER EGGS, WORMS, TROJAN HORSES OR OTHER HARMFUL COMPONENT OR PROGRAMMING ROUTINES THAT ARE INTENDED TO DAMAGE, DETRIMENTALLY INTERFERE WITH, SURREPTITIOUSLY INTERCEPT OR EXPROPRIATE ANY SYSTEM, DATA OR PERSONAL INFORMATION. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR PLATFORM ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE PWHL PARTIES WILL DISQUALIFY ANY PARTICIPANT RESPONSIBLE FOR THE ATTEMPT, AND PWHL AND/OR THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Entries generated by a script, macro, or other mechanical or automated means will be disqualified. In the event of dispute as to the identity or eligibility of any Selected Participant based on an X account or email address, the winning entry will be declared made by the Authorized Account Holder (as defined below) of the X account or email address used to enter the Sweepstakes, provided he is eligible according to these Official Rules. The “Authorized Account Holder” is defined as the natural person who is assigned an X account by X Corporation, or the natural person to whom the applicable ISP or other organization (such as a business or educational institution) has assigned the submitted email address for the domain associated with such email address.

In the event that the Sweepstakes is challenged by any legal or regulatory authority, PWHL reserves the right to discontinue or modify the Sweepstakes, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participant who is disqualified due to such an action.

ARBITRATION; CLASS ACTION WAIVER: EXCEPT WHERE PROHIBITED BY LAW, as a condition of entering this Sweepstakes, each participant agrees that (a) any and all disputes, claims, controversies, or causes of action arising out of or relating to this Sweepstakes or any Prizes awarded (each, a “Claim”) shall be (i) arbitrated on an individual basis only and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party and (ii) settled by binding arbitration in New York County, New York before a single arbitrator appointed by JAMS in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (b) under no circumstance will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses. For residents of certain states or provinces, the limitations set forth above may be inapplicable where attorneys' fees, court costs, or other damages are mandated by statute. EXCEPT WHERE PROHIBITED BY LAW, these Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of New York, U.S.A, applicable to contracts entered into and performed exclusively in that State.

The masculine form is used for the sake of conciseness, but it is intended to include both masculine and feminine genders.
